Agreement to Terms

These Terms of Service constitute a legally binding agreement between you and Pure View, operated by CLEAN VIEW TREE SERVICE, located at 12993 Wright Ave, Chino, CA 91710-3931, United States. By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, you must not use our services.

Services Description

Pure View provides professional computer systems design and related technical services, including but not limited to computer integrated systems design, enterprise architecture planning, cloud infrastructure solutions, system integration, technical consulting, and performance optimization services. The specific scope of services will be defined in individual service agreements or statements of work.

Use of Services

Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding contracts to use our services. By using our services, you represent and warrant that you meet these requirements.

Account Responsibilities

If you create an account with us, you are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

Acceptable Use

Changes to Pricing

We reserve the right to modify our pricing at any time. Any price changes will be communicated to you in advance and will not affect services already contracted under existing agreements.

Intellectual Property Rights

Our Property

All content, features, and functionality of our website and services, including but not limited to text, graphics, logos, software, and design, are owned by Pure View or our licensors and are protected by copyright, trademark, and other intellectual property laws.

Client Property

You retain all rights to any data, content, or materials you provide to us. By providing such materials, you grant us a limited license to use them solely for the purpose of delivering our services to you.

Work Product

Ownership of work product created as part of our services will be specified in individual service agreements. Unless otherwise agreed, you will receive ownership of custom deliverables upon full payment, while we retain ownership of our pre-existing tools, methodologies, and general knowledge.

Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of our business relationship. This obligation survives the termination of any service agreement.

Warranties and Disclaimers

Service Warranty

We warrant that our services will be performed in a professional and workmanlike manner consistent with industry standards. Any specific warranties will be detailed in individual service agreements.

Disclaimer

Except as expressly stated in a service agreement, our services are provided on an as-is and as-available basis. We make no warranties, express or implied, regarding the services, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that our services will be uninterrupted, error-free, or completely secure.

Limitation of Liability

To the maximum extent permitted by law, Pure View and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising out of or related to your use of our services.

Our total liability for any claims arising from or related to our services shall not exceed the amount paid by you to us for the specific services giving rise to the claim during the twelve months preceding the claim.

Indemnification

You agree to indemnify, defend, and hold harmless Pure View and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of our services, violation of these Terms, or infringement of any third-party rights.

Term and Termination

These Terms remain in effect while you use our services. We may suspend or terminate your access to our services at any time, with or without cause or notice, if we believe you have violated these Terms or for any other reason.

Individual service agreements may be terminated in accordance with their specific terms. Upon termination, you must cease all use of our services, and any outstanding fees become immediately due and payable.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, United States, without regard to its conflict of law provisions.

Arbitration

Any dispute arising from or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in San Bernardino County, California. Each party shall bear its own costs and expenses.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on our website and updating the Last Updated date. Your continued use of our services after such changes constitutes your acceptance of the modified Terms.

General Provisions

Entire Agreement

These Terms, together with any service agreements and our Privacy Policy, constitute the entire agreement between you and Pure View regarding the use of our services.

Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or any other term.

Assignment

Force Majeure

Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
